Terms of service

Last updated: September 30, 2026

These Terms of Service (“Terms”) are a binding agreement between you and Canopy Watch Company LLC (“Canopy,” “we,” “us,” or “our”) and govern your use of canopywatchco.com and any related services, content, and purchases (together, the “Service”). By using the Service or placing an order, you agree to these Terms and to the policies they reference, including our Refund Policy, Shipping Policy, Privacy Policy, and International Limited Warranty. If you do not agree, do not use the Service.

Please read Section 17 carefully. It requires most disputes to be resolved through individual binding arbitration rather than in court, and it waives class actions and jury trials, unless you opt out as described there.

1. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live, to place an order. You are responsible for the accuracy of the information you provide and for all activity under your account. We may refuse service, suspend or close accounts, or cancel orders at our discretion, including where we suspect fraud, abuse, or a violation of these Terms.

2. Orders and acceptance

Your order is an offer to purchase. An order confirmation email confirms that we received your order; it is not our acceptance. We accept your order when we ship the product to you. Until then, we may decline or cancel all or part of any order for any reason, including product availability, errors in pricing or product information, suspected fraud or unauthorized use of a payment method, or orders that appear to be placed by resellers, dealers, or distributors. If we cancel an order after you have been charged, we will refund the amount charged for the canceled items.

We may limit quantities per person, household, address, payment method, or order.

3. Prices, errors, and payment

Prices are shown in the currency displayed at checkout and may change at any time before your order is accepted. Despite our efforts, prices, descriptions, images, availability, or other information may contain errors. We reserve the right to correct any error and to cancel any order affected by an error, even after an order confirmation has been sent or your payment method has been charged, in which case we will refund you.

You authorize us and our payment processors to charge your selected payment method for the total order amount, including applicable taxes and shipping. Sale and promotional pricing applies only for the stated period and cannot be applied to prior purchases. Promotional codes have no cash value, are limited to one per order unless stated otherwise, and may be modified or withdrawn at any time.

4. Taxes, duties, and international orders

You are responsible for all applicable sales and use taxes. For international orders, duties, import taxes, and customs fees are collected at checkout where that option is shown; otherwise they are your responsibility and are payable to the carrier or customs authority on delivery. Canopy is not responsible for customs delays, inspections, or charges assessed by any government or carrier. See our Shipping Policy.

5. Shipping, title, and risk of loss

Delivery dates and processing times are estimates, not guarantees. To the extent permitted by law, title to and risk of loss for products pass to you when we deliver them to the carrier. We will help you pursue a claim with the carrier for any package that is lost or damaged in transit, as described in our Shipping Policy. If we are unable to ship your order within the time we have stated, we will notify you and give you the option to cancel for a full refund.

6. Returns, refunds, and final sale items

Returns and refunds are governed by our Refund Policy. Items identified as Final Sale are not eligible for return, exchange, or refund except where required by law. Chargebacks or payment disputes filed for orders that were delivered as described may be contested, and we may suspend future orders from accounts associated with unfounded disputes. Please contact us first at info@canopywatchco.com so we can resolve any issue.

7. Product information

We try to display products, colors, finishes, and specifications accurately, but we do not warrant that descriptions, images, or other content are complete, current, or error-free. Colors and finishes may appear differently depending on your screen. Mechanical watches naturally vary in timekeeping; performance within the movement manufacturer’s published tolerances is not a defect. Water resistance ratings reflect testing at the time of manufacture and depend on correct use of the crown and on the condition of seals and gaskets over time. Product features, specifications, and availability may change without notice.

8. Warranty and disclaimers

Canopy watches are covered only by our International Limited Warranty, which is the sole express warranty we provide. Accessories, merchandise, and other products are provided with no express warranty except as required by law. To the extent permitted by law, any implied warranties on products, including the implied warranties of merchantability and fitness for a particular purpose, are limited in duration to the period of the applicable written warranty, or, if there is none, to thirty (30) days from delivery.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR IN OUR LIMITED WARRANTY, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Intellectual property

The Service and all content on it, including the Canopy™ and Canopy Watch Company™ names and logos, product designs, dial and case designs, photographs, text, graphics, and software, are owned by or licensed to Canopy and are protected by intellectual property laws. You may view the Service for personal, non-commercial shopping purposes only. You may not copy, reproduce, modify, distribute, sell, or create derivative works from any part of the Service, or use our names, logos, or designs, without our prior written permission.

10. Reviews, feedback, and submissions

If you submit reviews, photos, comments, ideas, or other content (“Submissions”), you grant Canopy a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, publish, display, and distribute your Submissions, together with your name or username as submitted, in any media for any purpose, including marketing, without compensation to you. You represent that your Submissions are truthful, reflect your own experience, and do not violate any law or third-party right. We may, but are not required to, monitor, edit, or remove Submissions. We do not pay for, or offer incentives conditioned on, positive reviews.

11. Prohibited uses

You may not use the Service to: violate any law; infringe the rights of others; submit false or misleading information; place orders using another person’s payment information without authorization; purchase for commercial resale without our written consent; upload malicious code; scrape, crawl, or harvest data; interfere with the security or operation of the Service; or harass, defame, or harm others. We may terminate your access and cancel orders for any violation.

12. Third-party services and links

The Service may include tools, payment methods, apps, or links provided by third parties. Your use of them is at your own risk and subject to their terms. Canopy is not responsible for third-party services, content, or websites.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) CANOPY AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, ANY PRODUCT, OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) CANOPY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, ANY PRODUCT, OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID CANOPY FOR THE PRODUCT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US$100) IF NO PURCHASE IS INVOLVED.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Canopy and its owners, officers, employees, and agents from any claims, losses, liabilities, and expenses, including reasonable attorneys’ fees, arising out of your breach of these Terms, your Submissions, your misuse of the Service, or your violation of any law or third-party right.

15. Force majeure

Canopy is not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labor disputes, government action, tariffs or trade restrictions, supplier or manufacturing delays, carrier disruptions, power or internet failures, or cyberattacks.

16. Governing law

These Terms and any dispute arising out of or relating to them, the Service, or any product are governed by the laws of the State of Texas and applicable U.S. federal law, including the Federal Arbitration Act, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 17, the state and federal courts located in Harris County, Texas have exclusive jurisdiction, and you consent to their personal jurisdiction. If you are a consumer residing outside the United States, you may also have the benefit of mandatory consumer-protection laws and courts of your country of residence, and nothing in these Terms affects those rights.

17. Dispute resolution; binding arbitration; class action waiver

Informal resolution. Before starting any claim, you agree to email a written description of the dispute and the relief you seek to info@canopywatchco.com and to try in good faith to resolve it with us for at least sixty (60) days.

Arbitration. If the dispute is not resolved informally, you and Canopy agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or any product (a “Dispute”) will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitrator may award the same individual relief a court could award, but only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim. The hearing may take place by video, by phone, based on written submissions, or in the county where you live. Fees are governed by the AAA’s Consumer Arbitration Rules. Judgment on the award may be entered in any court with jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect its intellectual property rights.

Class action and jury trial waiver. YOU AND CANOPY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND CANOPY EACH WAIVE THE RIGHT TO A JURY TRIAL. The arbitrator may not consolidate more than one person’s claims.

Mass filings. If twenty-five (25) or more similar demands are filed against Canopy by or with the assistance of the same or coordinated counsel, the demands will be administered in batches of up to twenty-five (25), with only one batch proceeding at a time, and the parties will cooperate to resolve the remaining demands consistently with the outcomes of prior batches, to the extent permitted by the AAA rules.

Opt-out. You may opt out of this arbitration agreement by emailing info@canopywatchco.com with your name, order number (if any), and a clear statement that you opt out of arbitration, within thirty (30) days after you first accept these Terms. Opting out does not affect any other part of these Terms.

Time limit. To the extent permitted by law, any Dispute must be commenced within one (1) year after it arises, or it is permanently barred.

Severability. If the class action waiver is found unenforceable as to any claim, that claim must be severed and brought in court, and the remaining claims will be arbitrated. This Section 17 does not apply where prohibited by the mandatory laws of your country of residence.

18. Changes to these Terms

We may update these Terms at any time by posting a revised version with a new “Last updated” date. Changes apply to orders placed and use of the Service after the revised Terms are posted. Changes to Section 17 will not apply to any Dispute of which we had written notice before the change.

19. General

These Terms, together with the policies referenced in them, are the entire agreement between you and Canopy regarding the Service and supersede any prior agreements. If any provision is found unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them without restriction. Notices to you may be sent to the email address associated with your order or account. Section headings are for convenience only. Sections that by their nature should survive termination will survive.
